ESCROW DEPOSIT VERIFICATION AND AUDITING

As a supplement to the benefits of a software escrow agreement, Escrow Associates, LLC offers escrow deposit verification services. An effective escrow deposit is more than merely the source code of the technology - additional key materials must be included to ensure an effective and complete escrow deposit. The escrow deposit verification services of Escrow Associates, LLC will enhance the overall value of the software escrow.

Escrow Deposit Analysis and Compilation require a completed Escrow Deposit Questionnaire, which Escrow Associates, LLC will utilize to provide more specific proposed pricing and deliverables.

Deposit Material Reporting
Deposit Material Reporting is an elementary level of verification designed to prove that the media is functional, virus free, and the information provided is accessible. For a small annual fee, Escrow Associates, LLC will perform Deposit Material Reporting for all materials received.

Deposit Analysis
The purpose of Deposit Analysis is to determine if there are any preliminary reasons that the deposit materials are not complete or do not contain all the necessary items to support the technology the escrow relationship is designed to protect. Each component identified in the completed Escrow Deposit Questionnaire should be present in the materials. Also, the build documentation should be present and consistent with the completed questionnaire as well as the rest of the materials.

• Review of deposited materials for all required components
• Comparison of deposited materials with Escrow Associates suggested materials
• Analysis of build documentation for consistency
• Documentation of findings in a Deposit Analysis Report, including recommendations

Deposit Compilation
During Deposit Compilation, Escrow Associates, LLC will simulate the release scenario by verification of the process necessary to convert deposited materials into executables. Once a Deposit Compilation is successful, a Licensee or End-User can be confident that materials in escrow are sufficient. Test includes:

• Construction of the build platform
• Validation of the build instructions by following steps through the compilation process
• Troubleshooting any problems encountered and, if appropriate, review/ correct errors with Developer
• Deposit Compilation Report to include:
  • Identification of any errors encountered and error logs, if appropriate
  • o Escrow Associates' recommendations for corrective action
