Exceptional Client Support the Basis for Escrow Associates’ Success

Reflecting on the success of Escrow Associates over the past five years, Christian Dodder, founder and Vice President of Operations, immediately points toward the industry knowledge and client support Escrow Associates delivers to its clients.

“When we founded this company in early 2002, each of the partners was already a recognized leader in the software escrow services industry. We knew that software escrow was an essential business tool for managing the risks associated with licensing technology and it was clear that software developers and end-users were not receiving the level of service and expertise they needed. So, we formed this company on the foundation of exceptional service. We knew that is what would set us apart.

Verification Services Crucial for Mission Critical Software

Studies performed on deposited software indicate that the majority of deposit materials are not complete and do not contain all the necessary items to support the technology the escrow relationship is designed to protect. Certainly, companies that license software are far more protected with escrow deposits than without, but for any number of reasons the escrowed materials are often simply not complete or not perfectly accurate. When mission critical technology is involved, deposit verification services are invaluable.

“An effective escrow deposit is more than merely source code. Additional key elements must be included to ensure for an effective, complete escrow deposit,” says Chris Smith, vice president of sales and marketing for Escrow Associates. “It is our responsibility to be proactive with our clients, and to inform them of potential risks with materials deposited in escrow.

Escrow Associates Praised for Flexible Contract Templates

A recent market research study performed on the software and technology escrow industry uncovered a common theme of praise for Escrow Associates’ fair and modifiable agreement templates.

Most notable in the research was the flexibility of the release conditions in the Standard Three-Party Escrow Agreements and Master Two-Party Software Escrow Agreements offered by Escrow Associates, headquartered in Atlanta, GA. Samples of each agreement are available upon request at www.escrowassociates.com or by calling 1-800-813-3523.

Software Developers Prefer Escrow Associates’ FTP Depositing Service

Saving time and effort for clients during the life of their escrow agreements was the primary purpose behind Escrow Associates implementing FTP depositing services at the inception of the company in 2002. At that time, Escrow Associates was the only technology escrow agent to offer such innovative services. Today, an increasing number of software developers have shifted their process of transferring source code to the more efficient, economical and secure FTP.

“Clearly, this service is substantially more efficient for all of our clients in terms of saving them time, money and resources, but it is the developers with frequent updates that seem to find it most attractive,” says Chris Smith, Vice President of Sales for Escrow Associates, LLC. “Most likely this is because developers provide and fund the manpower to keep the escrowed software current and making these deposits takes time and money.

Postponing Escrow Agreements Proves Costly:  When to Escrow

Research indicates there is a natural tendency for both the technology vendor and end-user to delay the establishment of the escrow agreement and submission of the deposit materials. The common license agreement calls for the escrow agreement to be negotiated at some later date following the execution of the license agreement and the escrow deposit to be made some 90-120 days after that. In many cases, this practice causes the escrow agreement to be forgotten completely or the end-user leaves the bargaining table with the assumption that their vendor will establish the agreement on their own. While this does occur, in many cases the software vendor has a far less vested interest in making the escrow deposit and will only do so when forced to comply.

Software Escrow Industry Marks Silver Anniversary

In 1982, entrepreneurial groups on both coasts of the United States realized the business world had embarked on a new era of relying upon technology and businesses would become increasingly dependent upon software and the intellectual property of others. Recognizing this spawned projections that companies would soon incorporate source-code protection into their overall risk-management strategies. Data Securities International (DSI) and Fort Knox Escrow Services, became the first-ever software escrow providers, and laid the groundwork for what would become one of the most critical business tools of the 21st Century.

Initially, the overall demand for such protection was quite minimal, primarily due to limited computer usage that was confined to governments, acadecmic institutions and large companies for mission critical applications.

Software Escrow Increases Sales Revenue for Web-Based Order System Development Firm

In 2002 a successful facilities maintenance company developed an exclusive, web-based work order system that allowed clients to send and monitor work orders from start to completion. This system was so successful in scheduling and providing services that clients wanted their own web-based work order system to send and monitor work orders from start to completion to all of their vendors and in-house maintenance staff to better manage their operations. To deliver this powerful application NetFacilities, Inc was formed in 2002 and officially released their solution for live use in 2003.

NetFacilities was quickly able to gain the attention of many organizations, both small and large, that realized the potential efficiencies and cost savings of managing their facilities via the NetFacilities tool.
